제1장 · 일반 조항
제1조 (명칭) 본 단체의 명칭은 “조지아 한미상공회의소”(이하 “상공회의소”)이다. 제2조 (위치) 상공회의소의 주사무소는 애틀랜타 광역권에 위치하며, 상공회의소의 관할권은 조지아주에 속한다. 제3조 (목적) 본 상공회의소의 목적은 한인 기업인 간의 단결을 도모하고, 산업계 및 동종 단체와 협력하며, 사업 발전을 지원하고, 회원의 권리를 보호하며, 미국 내 한인 사회 발전에 기여하는 것이다. 제4조 (활동) 제3조에 명시된 목적을 달성하기 위해 상공회의소는 다음과 같은 활동을 수행할 수 있다. 1. 회원 간 협력 및 네트워크 구축을 증진합니다. 2. 경제 단체 및 정부 기관과 협력 3. 교육, 세미나 및 역량 강화 프로그램을 실시합니다. 4. 지역사회 발전에 기여한다 5. IRS 규정에 따라 허용된 수익 창출 활동을 수행하십시오. 6. 이사회에서 승인한 기타 프로젝트를 실행합니다. 제4-2조 (법적 지위 - 현대화 증설) 상공회의소는 연방법, 조지아주법 및 IRS 규정을 준수하여 다음과 같은 법적 지위로 운영됩니다. 1. 상공회의소(KACCGA 본부)는 501(c)(6) 비즈니스 리그로 운영됩니다. 2. “KACCGA 재단”은 교육 및 공익 프로그램을 수행하기 위해 별도의 501(c)(3) 자선 단체로 설립될 수 있습니다. 3. 양 법인은 법률에 따라 별도의 회계, 세금 신고 및 자금 관리를 유지해야 합니다. 4. 두 기관은 면세 목적에 부합하는 프로그램에 대해 협력할 수 있습니다.
제2장 · 회원 자격
제5조 (회원 유형) 상공회의소의 회원은 정회원과 준회원으로 구성된다. 제1항 (정회원) 정회원은 상공회의소의 사명과 목표를 지지하는 사업주 또는 전문가로서, 만 18세 이상이며, 필요한 연회비를 납부한 사람이어야 합니다. 제2항 (준회원) 준회원은 상공회의소의 목적을 지지하지만 회비를 납부할 의무가 없는 18세 이상의 개인입니다. 제6조 (권리와 의무) 제1항 (의무) 정회원은 본 회칙을 준수하고 모든 필수 회비를 납부해야 합니다. 제2항 (권리) 정회원은 투표권, 임원 선출권, 그리고 임원으로 선출될 자격을 갖습니다. 제3항 (표창 및 징계) 탁월한 서비스를 제공하는 회원은 공식적으로 표창을 받을 수 있습니다. 상공회의소의 명성을 훼손하거나 그 목적에 반하는 행위를 하는 회원은 경고, 징계 조치 또는 제명될 수 있습니다. (보상 책임에 대해서는 재정 섹션을 참조하십시오.) 제4항 (준회원) 준회원은 토론에 참여할 수 있지만 투표권, 선거권 또는 임원직에 출마할 자격은 없습니다. 제7조 (회원 자격 및 복권) 회원은 다음과 같은 조건에 해당하는 경우 회원 자격을 상실합니다. 1. 자발적 탈퇴 2. 2년 연속 회비 미납 3. 징계 조치에 의한 퇴학 이전 회원은 이사회의 검토 및 승인을 거쳐 복직을 신청할 수 있습니다.
제3장 · 회의 및 통치 기구
제7조 (회의) 상공회의소는 최고 의사결정 기구인 총회와 총회 사이에 상공회의소를 대표하여 활동하는 이사회를 유지한다. 제8조 (총회 및 소집) 제1항 (연례 주주총회) 연례 총회는 회장이 매년 12월에 소집합니다. 제2항 (특별회의) 다음과 같은 상황에서 특별회의가 소집됩니다. 1. 회장이 필요하다고 판단할 경우 2. 이사회 과반수의 요청이 있는 경우 3. 정회원 30명이 안건과 사유를 명시한 서면 요청서를 제출한 경우 → 회장은 21일 이내에 회의를 소집해야 합니다. 제3항 (공지) 총회 소집 통지는 회의 개최 최소 15일 전에 발송되어야 하며, 날짜, 시간, 장소 및 의제를 포함해야 합니다. 제9조 (정족수) 총회는 정회원 전체의 3분의 2(2/3)가 참석해야 정족수가 충족됩니다. 제1항 (투표) 결의안은 출석 회원 과반수 찬성으로 통과됩니다. 찬반 동수일 경우 의장이 결정권을 행사합니다. 제2항 (개정 및 탄핵) 정관 개정 및 회장 탄핵에는 출석 회원 3분의 2 이상의 찬성이 필요합니다. 제10조 (해결 사항) 총회는 다음 사항에 대해 투표한다: 1. 연간 사업 및 재무 보고서 2. 새해 사업 계획 및 예산 3. 이사회 보고서 4. 감사 보고서 5. 승인이 필요한 기타 주요 사항 제11조 (이사회) 이사회는 상공회의소의 주요 운영 기구로서, 조직과 회원들의 이익 및 발전을 위해 봉사합니다. 제12조 (구성) 1. 수석부회장 겸 사무총장은 당연직 이사로 재직할 수 있습니다. 2. 이사는 회장이 임명하며, 만 26세 이상의 정회원이어야 합니다. 3. 이사회는 최소 20명의 이사로 구성되며 매년 1월에 구성된다. 제13조 (의장) 1. 의장은 이사회에서 선출됩니다. 2. 위원장은 회장직을 겸임할 수 없다. 3. 이사회 구성 후, 이사회 의장은 추가 이사를 임명할 수 있습니다. 4. 회장은 부회장 및 총무이사를 포함한 이사회 구조를 구성합니다. 제14조 (이사회의 기능) 이사회는 다음 사항을 심의하고 결의한다. 1. 예산 2. 사업 계획 3. 재무제표 4. 회원비 5. 정관 개정 6. 규칙 및 규정의 제정 또는 개정 7. 산하 기관의 설립 또는 해산 8. 징계 사항 9. 선거위원회 구성 및 감사인 선정 10. 기타 필요하다고 판단되는 사항 제15조 (이사회 위원회) 이사회는 다음과 같은 상설위원회를 유지해야 합니다. 1. 윤리위원회 2. 재정위원회 3. 행사 위원회 모든 이사는 하나 이상의 위원회 위원으로 참여해야 합니다. 제2항 (특별회의) 다음과 같은 상황에서는 특별 이사회 회의가 개최됩니다. 1. 위원장이 필요하다고 판단할 경우 2. 회장의 서면 요청에 따라 3. 전체 이사 중 3분의 1 이상의 요청이 있을 경우 제17조 (이사회 정족수 및 의결권) 1. 이사 전원의 과반수가 정족수를 구성합니다. 2. 결의안은 출석 이사 과반수의 찬성을 필요로 합니다. 3. 징계 조치는 3분의 2 이상의 찬성이 필요합니다. 4. 동점일 경우 의장이 결정한다. 제18조 (기간) 이사장 및 이사의 임기는 2년입니다. 공석이 발생할 경우, 후임자는 원래 임기의 잔여 기간 동안 직무를 수행합니다. 제19조 (감사인) 총회의 승인을 받은 감사인은 상공회의소의 재정 및 운영을 검사합니다. 부정행위가 발견될 경우, 이사회는 시정 조치를 취해야 할 수 있습니다. 제20조 (대리권한 부여) 회의에 참석할 수 없는 회원이나 임원은 공식 위임장을 통해 투표권을 위임할 수 있습니다. 제21조 (회의록) 총회, 이사회 및 임원 회의의 회의록은 작성 및 보관되며, 요청 시 회원에게 제공됩니다.
제4장 · 행정부
제21조 (회장) 상공회의소는 35세 이상 정회원 중에서 회장 1명을 선출한다. 회장의 임기는 2년이며, 재선될 수 있다. 제1항 (의무) 회장은 다음과 같은 권한을 가진다: 1. 상공회의소를 대표합니다. 2. 총회와 집행위원회를 소집하고 의장직을 맡는다. 3. 연례 재정 및 활동 보고서를 작성하여 총회에 제출한다. 4. 이사회 승인을 조건으로 집행 기구를 설치 또는 해산하고 임원을 임명 또는 해임할 수 있다. 5. 상공회의소의 모든 활동을 감독하고 관리한다. 6. 공식 기록의 작성 및 보관에 대한 책임을 져야 한다. 현대적 거버넌스 개선 사항 1. 사무총장급 이상의 임원 임명에는 이사회의 승인이 필요합니다. 2. 5,000달러 이상의 지출은 총장과 재무 담당자의 공동 승인을 받아야 합니다. 3. 승인된 예산을 초과하는 모든 지출은 이사회 결의가 필요합니다. 4. 재무 보고서는 분기별로 이사회에 제출해야 합니다. 5. 임기가 종료되면 서면으로 된 인수인계 보고서를 작성하여 제출해야 합니다. 6. 매년 이해충돌 신고서를 제출해야 합니다. 제2항 (동시 입장) 회장은 임기 동안 이사직을 겸임합니다. 제3항 (탄핵) 회장은 본 회칙을 위반할 경우 탄핵될 수 있다. 탄핵 회의는 이사회 의장이 소집하고 주재한다. 제4항 (직무 인수인계) 퇴임하는 회장과 새로 취임하는 회장 간의 인수인계는 서면으로 문서화되어야 하며, 감사인이 참석한 가운데 12월 최종 이사회 회의 전에 완료되어야 합니다. 제22조 (부회장) 상공회의소는 회장이 임명하고 이사회의 승인을 받은 수석 부회장 1명과 부회장 최대 4명을 둔다. 부회장의 직무 1. 회장을 보좌합니다. 2. 회장이 부재중이거나 직무를 수행할 수 없는 경우 회장 권한대행을 맡는다. 3. 경영진의 업무를 감독하고 지원합니다. 4. 임기 동안 이사직을 겸임합니다. 제23조 (사무총장) 상공회의소는 모든 행정 업무를 총괄할 사무총장 1명을 임명한다. 필요한 경우 유급 행정 관리자를 고용할 수 있다. 사무총장은 회장이 임명하고 이사회의 승인을 받아야 한다. 제24조 (전직 회장 협의회) 상공회의소는 전직 회장들로 구성된 이사회를 유지한다. 가장 최근의 전직 회장이 이사회의 대표로 활동한다. 위원회는 의결권이 없으며 자문 역할만 수행합니다. 제25조 (자문위원/자문위원회) 상공회의소는 그 목적을 지지하는 저명한 인사들을 자문위원으로 임명할 수 있으며, 임명 인원수에는 제한이 없습니다. 또한 자문위원 중에서 위원장 1명을 선출합니다. 자문위원은 회장이 임명하며 임기는 2년입니다.
제5장 · 선거
제27조 (선거) 회장은 총회에서 직접 또는 비밀 투표로 선출한다. 이사회는 선거를 관리하기 위해 5명 내외의 선거관리위원회를 구성한다.
제6장 · 재정
제28조 (재정) 제1항 (수익원) 상공회의소의 재정 자원은 다음과 같이 구성됩니다. 1. 정기 회원비 2. 이사회 구성원 회비 3. 기부 4. 정부 및 기관 보조금 5. 합법적인 사업 소득 6. 기타 수익 제2항 (수집) 회비는 이사회에서 결정하고 임원진이 징수합니다. 제3항 (지출) 모든 지출은 총장의 책임 하에 이루어져야 합니다. 수표에는 총장과 재무 담당자의 공동 서명이 필요합니다. 제4항 (현금 취급) 모든 현금 수입은 1주일 이내에 입금되어야 하며, 적절한 증빙 서류를 첨부해야 합니다. 제5항 (회계) 모든 회계는 적절한 장부와 증빙 서류를 통해 정확하게 유지되어야 합니다. 최신 기능 향상 1. 재정위원회 설립 2. 내부 통제 절차에 대한 공식 문서화 3. 분기별 재무 보고서는 이사회에 제출해야 합니다. 4. 필요한 경우 외부 감사 또는 재무 검토를 실시할 수 있습니다. 5. 5,000달러를 초과하는 지출에는 이사회의 추가 승인이 필요합니다. 제29조 (경영) 제1항 (채무 한도) 이사회의 승인 없이는 상공회의소 명의로 어떠한 채무도 발생할 수 없습니다. 제2항 (보상) 상공회의소에 재정적 손실을 입힌 개인은 10일 이내에 해당 손실을 배상해야 하며, 이를 이행하지 않을 경우 법적 조치가 취해질 수 있습니다. 제30조 (회계연도) 회계연도는 회장 임기 첫해 1월 1일에 시작하여 차기 회장 임기가 시작되는 날 종료됩니다. 국세청(IRS) 보고 목적상, 실질적인 회계연도는 1월 1일부터 12월 31일까지로 적용될 수 있습니다.
제7장 · 개정 사항
제31조 (개정) 이사회에서 승인한 개정안은 총회 또는 특별총회에 출석한 정회원 3분의 2 이상의 찬성으로 채택된다.
제8장 · 추가 조항

선거 규정
목적 제1조 (목적) 의회 회칙 제27조 제5항에 따라, 공정하고 투명하며 질서 있는 선거 절차를 보장하기 위해 본 선거 회칙을 제정합니다. 선거위원회 구성 제2조 (위원회 구성) 1. 시기: 선거관리위원회는 선거일 최소 40일 전에 구성되어야 한다. 2. 구성: 위원장 1명과 위원 4명(총 5명). 3. 회원은 이사회의 승인을 받아야 합니다. 선거위원회의 기능 제3조 (기능) 선거위원회는 다음과 같은 직무를 수행한다. 1. 회칙 및 선거 규칙을 시행합니다. 2. 지원자 등록 및 보증금 접수 및 관리 3. 추천인 명단을 검토하고 관리합니다. 4. 필요한 모든 진술서 및 신고서를 관리합니다. 5. 투표소와 개표소를 설치하고 운영한다. 6. 유권자 등록부를 관리합니다. 7. 후보자와 유권자의 자격을 검증하십시오. 8. 결과를 발표하고 우승자를 확정합니다. 9. 투표함과 선거 관련 서류를 보존하십시오. 10. 선거 관리에 필요한 기타 업무를 수행합니다. 후보자 자격 요건 제4조 (자격 요건) 지원자는 다음 요건을 충족해야 합니다. 1. 최소 최근 3년 동안 조지아주 내 상공회의소 관할 구역에 거주했어야 합니다. 2. 최근 2년간 연속으로 회비를 납부한 정회원이어야 합니다. 3. 회칙 및 윤리 규정을 준수하십시오. 4. 법적 분쟁에 연루되었거나 형법/선거법을 위반한 개인은 자격이 없습니다. 5. IRS 501(c) 요건 위반 시 자격이 박탈될 수 있습니다. 적격 후보자가 나타나지 않을 경우, 선거위원회는 이사회의 승인을 조건으로 대안을 제시할 수 있습니다. 후보자 재임 기간 중 직무 정지 제5조 (자격 정지) 상공회의소 내 직책을 맡고 있는 모든 임원 또는 개인은 후보 등록 즉시 직무를 정지해야 합니다. 그들의 직무는 정해진 승계 순서에 따라 위임됩니다. 후보자 등록 제6조 (등록) 1. 선거관리위원회가 구성된 후 5일 이내에 등록이 시작됩니다. 2. 등록은 선거일 15일 전 오후 6시에 마감됩니다. 필수 서류: – 후보자 등록 양식 – 이력서 – 회원비 납부 확인서 – 3년 거주 증명서 – 신원 조회 동의서 – 후보자 진술서 – 선거위원회 결정 준수 서약서 후보자 보증금 제7조 (기탁) 1. 회장 후보자는 이전 선거와 같거나 그 이상의 보증금을 납부해야 합니다. 2. 불합격자는 결과 발표 후 15~20일 이내에 예치금의 50%를 환불받게 됩니다. 3. 예치금은 선거 비용으로만 사용될 수 있으며, 남은 자금은 새 행정부로 이관됩니다. 4. 정확한 보증금액은 선거위원회의 추천을 받아 이사회에서 결정합니다. 후보자 추천인 제8조 (후보자 지명) 후보자는 최소 25명의 정회원으로부터 추천을 받아야 합니다. 중복 추천은 무효입니다. 투표권 제9조 (투표 자격) 선거일 20일 전까지 회비를 납부한 정회원은 투표 자격이 있습니다. 선거 및 발표 제10조 (선거 및 공표) 1. 선거 기간은 정관 제27조를 따릅니다. 2. 선거위원회는 개표가 완료되는 즉시 결과를 발표해야 한다. 3. 동점일 경우 2주 이내에 결선 투표를 실시한다. 이의 제기 제11조 (이의 제기) 선거관리위원회의 결정은 최종적입니다. 결과 발표 후에는 어떠한 법적 이의 제기도 허용되지 않습니다. 후보자 선서 제12조 (선서 진술서) 모든 후보자는 선거위원회가 제공하는 진술서에 서명해야 합니다. 위원회 해산 제13조 (해산) 선거위원회는 모든 선거 업무를 완료하고 자료를 새 운영진에게 인계하는 즉시 해산된다. 시행일 제14조 (시행일) 본 선거 규정은 총회의 승인을 받는 즉시 효력을 발생합니다. 세칙개정 위원회 위원장: 송희성 위원: 유준식, 한기대, 이재승, 이영범, 안아혜 2007년 12월 9일 세칙개정 위원회 위원장: 남기만 위원: 유준식, 이영범, 이옥경, 김윤철, 김의석, 문두곤 2015년 4월 20일 세칙개정 위원회 위원장: 손동철 위원: 엄수나, 김순영, 서종태, 김병렬, 이혁 2022.10.11 정기 이사회 ( 제 4조 입후보자 자격 개정) 이사장: 최주환 부이사장: 이춘봉 총무: 박인순 서기: 임근옥 침석 20명중 13명 찬성으로 통과
CHAPTER 1 · GENERAL PROVISIONS
Article 1 (Name) The organization shall be called the “Korean American Chamber of Commerce of Georgia” (hereafter “the Chamber”). Article 2 (Location) The principal office of the Chamber shall be located in the metropolitan Atlanta area, and the Chamber’s jurisdiction shall cover the State of Georgia. Article 3 (Purpose) The purpose of the Chamber is to promote unity among Korean-American businesspersons, collaborate with industry and ethnic groups, support business development, protect members’ rights, and contribute to the advancement of the Korean-American community in the United States. Article 4 (Activities) To accomplish the purposes outlined in Article 3, the Chamber may undertake the following activities: 1. Promote cooperation and networking among members 2. Collaborate with economic organizations and government agencies 3. Conduct education, seminars, and capacity-building programs 4. Contribute to community development 5. Conduct revenue-generating activities permitted under IRS rules 6. Execute other projects approved by the Board Article 4-2 (Legal Status — Modernized Addition) The Chamber operates under the following legal statuses in compliance with federal law, Georgia state law, and IRS regulations: 1. The Chamber (KACCGA Headquarters) operates as a 501(c)(6) Business League. 2. The “KACCGA Foundation” may be established as a separate 501(c)(3) charitable organization to conduct educational and public-benefit programs. 3. Both entities shall maintain separate accounting, tax filings, and fund management in accordance with law. 4. The two entities may collaborate on programs aligned with their exempt purposes.
CHAPTER 2 · MEMBERSHIP
Article 5 (Membership Categories) Membership of the Chamber shall consist of Regular Members and Associate Members. Paragraph 1 (Regular Members) Regular Members shall be business owners or professionals who support the mission and objectives of the Chamber, are at least 18 years of age, and have paid the required annual membership dues. Paragraph 2 (Associate Members) Associate Members are individuals aged 18 or older who support the Chamber’s purposes but are not required to pay membership dues. Article 6 (Rights and Duties) Paragraph 1 (Duties) Regular Members shall comply with these Bylaws and pay all required membership dues. Paragraph 2 (Rights) Regular Members possess the right to vote, the right to elect officers, and the eligibility to be elected to office. Paragraph 3 (Commendation and Discipline) Members who provide outstanding service may be formally commended. Members who damage the Chamber’s reputation or act contrary to its purposes may receive a warning, disciplinary action, or expulsion. (See Finance section for compensation liability.) Paragraph 4 (Associate Members) Associate Members may participate in discussions but do not possess voting rights, election rights, or eligibility for office. Article 7 (Member Qualification and Restoration) A member shall lose membership under the following conditions: 1. Voluntary withdrawal 2. Non-payment of dues for two consecutive years 3. Expulsion by disciplinary action A former member may apply for reinstatement subject to Board review and appro val.
CHAPTER 3 · MEETINGS AND GOVERNING BODIES
Article 7 (Meetings) The Chamber shall maintain a General Assembly as its highest decision-making body and a Board of Directors which acts on its behalf between meetings. Article 8 (General Assembly and Convening) Paragraph 1 (Annual General Meeting) The Annual General Meeting shall be convened by the President during the month of December each year. Paragraph 2 (Special Meetings) A Special Meeting shall be convened under the following circumstances: 1. When the President deems it necessary 2. Upon request by a majority of the Board 3. When 30 Regular Members submit a written request specifying agenda and reason → The President must convene the meeting within 21 days Paragraph 3 (Notice) Notice of a General Assembly shall be issued at least 15 days prior to the meeting and must include the date, time, location, and agenda. Article 9 (Quorum) The General Assembly shall constitute a quorum with the attendance of two-thirds (2/3) of all Regular Members. Paragraph 1 (Voting) Resolutions pass by a majority vote of members present. In the event of a tie, the Chair casts the deciding vote. Paragraph 2 (Amendments and Impeachment) Bylaw amendments and impeachment of the President require a two-thirds majority vote of the members present. Article 10 (Matters for Resolution) The General Assembly shall vote on: 1. Annual business and financial report 2. New year’s business plan and budget 3. Board report 4. Auditor’s report 5. Other major matters requiring approval Article 11 (Board of Directors) The Board of Directors is the primary governing body of the Chamber, serving the interests and development of the organization and its members. Article 12 (Composition) 1. The Senior Vice President and Secretary-General may serve as ex officio Directors. 2. Directors are appointed by the President and must be Regular Members aged 26 or older. 3. The Board shall consist of at least 20 Directors and shall be organized in January each year. Article 13 (Chairperson) 1. The Chairperson shall be elected by the Board. 2. The Chairperson shall not concurrently serve as President. 3. After Board formation, the Chairperson may appoint additional Directors. 4. The Chairperson organizes the Board structure, including Vice Chairs and General Affairs Directors. Article 14 (Functions of the Board) The Board shall deliberate and resolve the following: 1. Budget 2. Business plans 3. Financial statements 4. Membership dues 5. Bylaw amendments 6. Adoption or revision of rules and regulations 7. Establishment or dissolution of subsidiary bodies 8. Disciplinary matters 9. Formation of the Election Committee and selection of Auditors 10. Other matters deemed necessary Article 15 (Board Committees) The Board shall maintain the following standing committees: 1. Ethics Committee 2. Finance Committee 3. Events Committee All Directors shall participate as members of one or more committees. Paragraph 2 (Special Meetings) A Special Board Meeting shall be held under the following circumstances: 1. When the Chairperson deems it necessary 2. Upon written request of the President 3. Upon request by one-third of the total Directors Article 17 (Quorum and Voting of the Board) 1. A majority of all Directors constitutes a quorum. 2. Resolutions require the majority vote of Directors present. 3. Disciplinary actions require a two-thirds vote. 4. In the event of a tie, the Chairperson shall decide. Article 18 (Term) The term of the Chairperson and Directors shall be two years. When vacancies occur, successors shall serve the remainder of the original term. Article 19 (Auditors) Auditors, approved by the General Assembly, shall examine the Chamber’s finances and operations. If irregularities are found, they may require corrective action from the Board. Article 20 (Proxy Authorization) Members or officers unable to attend meetings may delegate their vote through an official proxy form. Article 21 (Minutes) Minutes shall be recorded and preserved for the General Assembly, Board Meetings, and Executive Meetings, and shall be provided to members upon request.
CHAPTER 4 · EXECUTIVE BRANCH
Article 21 (President) The Chamber shall elect one President from among Regular Members aged 35 or older. The term of the President shall be two years, and the President may be re-elected. Paragraph 1 (Duties) The President shall: 1. Represent the Chamber. 2. Convene and preside over the General Assembly and the Executive Committee. 3. Prepare and submit annual financial and activity reports to the General Assembly. 4. Establish or dissolve executive bodies and appoint or dismiss officers, subject to Board approval. 5. Oversee and supervise all activities of the Chamber. 6. Bear responsibility for the preparation and safekeeping of official records. Modern Governance Enhancements 1. Appointments of officers at or above the Secretary-General level require Board approval. 2. Expenditures of $5,000 or more require joint approval by the President and the Treasurer. 3. Any expenditure exceeding the approved budget requires a Board resolution. 4. Financial reports must be submitted to the Board on a quarterly basis. 5. Upon completion of the term, a written transition report must be prepared and delivered. 6. An annual Conflict of Interest declaration is required. Paragraph 2 (Concurrent Position) The President shall concurrently serve as a Director during the term of office. Paragraph 3 (Impeachment) The President may be impeached for violating these Bylaws. The impeachment meeting shall be convened and presided over by the Chairperson of the Board. Paragraph 4 (Transition of Office) The transition between the outgoing and incoming Presidents shall be documented in writing and completed before the final Board meeting in December, in the presence of the Auditors. Article 22 (Vice Presidents) The Chamber shall have one Senior Vice President and up to four Vice Presidents, appointed by the President and approved by the Board. Duties of Vice Presidents 1. Assist the President. 2. Serve as Acting President in the event of the President’s absence or incapacity. 3. Supervise and support executive operations. 4. Concurrently serve as Directors during their term. Article 23 (Secretary-General) The Chamber shall appoint one Secretary-General who oversees all administrative operations. A paid administrative manager may be hired if necessary. The Secretary-General shall be appointed by the President and approved by the Board. Article 24 (Former Presidents’ Council) The Chamber shall maintain a Council composed of former Presidents. The most recent Past President shall serve as the representative of the Council. The Council shall have no voting rights and serve solely in an advisory c apacity. Article 25 (Advisors / Advisory Council) The Chamber may appoint distinguished individuals who support its purposes as Advisors without a limit on the number of appointees, and one Chairperson of the Advisory Council shall be elected from among them. Advisors shall be appointed by the President and shall serve a two-year term.
CHAPTER 5 · ELECTION
Article 27 (Election) The President shall be elected by direct or secret ballot during the General Assembly. The Board shall form an Election Management Committee of approximately five members to administer the election.
CHAPTER 6 · FINANCE
Article 28 (Finance) Paragraph 1 (Revenue Sources) The financial resources of the Chamber shall consist of the following: 1. Regular membership dues 2. Board member dues 3. Donations 4. Government and institutional grants 5. Legal business income 6. Other revenue Paragraph 2 (Collection) Membership dues shall be determined by the Board and collected by the Executive Officers. Paragraph 3 (Expenditure) All expenditures shall be made under the responsibility of the President. Checks shall require joint signatures of the President and the Treasurer. Paragraph 4 (Cash Handling) All cash revenue must be deposited within one week and supported by proper documentation. Paragraph 5 (Accounting) All accounting shall be maintained accurately with proper books and supporting documents. Modern Enhancements 1. Establishment of a Finance Committee 2. Formal documentation of Internal Control procedures 3. Quarterly financial reports must be presented to the Board 4. External audit or financial review may be conducted when necessary 5. Expenditures exceeding $5,000 require additional Board approval Article 29 (Management) Paragraph 1 (Debt Limitation) No debt obligation may be incurred in the Chamber’s name without approval of the Board. Paragraph 2 (Compensation) Any individual who causes financial loss to the Chamber shall compensate for such loss within 10 days, failing which legal action may be taken. Article 30 (Fiscal Year) The fiscal year shall begin on January 1 of the President’s term and end upon the commencement of the next President. For IRS reporting purposes, a practical fiscal year of January 1–December 31 may be a pplied.
CHAPTER 7 · AMENDMENTS
Article 31 (Amendments) Proposed amendments approved by the Board shall be adopted by a two-thirds vote of Regular Members present at a General or Special Assembly.
CHAPTER 8 · SUPPLEMENTARY PROVISIONS
Article 32 (Customary Practices) Matters not specified in these bylaws shall follow customary practice or Board-adopted rules. Article 33 (Parliamentary Authority) Parliamentary procedure shall be governed by Robert’s Rules of Order. Article 34 (Effective Date) These bylaws take effect upon approval by the General Assembly. Article 35 (Principle Clause) The General Provisions may not be amended in a manner contrary to the Chamber’s founding purpose. Article 36 (Membership Dues & Candidate Deposit) Membership dues may be amended by a majority vote of the Board of Directors without approval of the General Assembly, and any such change shall take effect from the following fiscal year. However, Board of Directors’ dues shall include the membership dues. Membership dues : $100 per year Board member dues : $500 per year Candidate deposit for the presidential election: $25,000 All amendments to these Bylaws shall be duly documented, including the date of amendment, the content of such amendment, the approving body, and the effective date. Election Bylaws
Purpose Article 1 (Purpose) In accordance with Article 27, Chapter 5 of the Chamber Bylaws, these Election Bylaws are enacted to ensure a fair, transparent, and orderly election process. Formation of the Election Committee Article 2 (Committee Formation) 1. Timing: The Election Management Committee shall be formed at least 40 days prior to the election. 2. Composition: One Chairperson and four Committee Members (total of five). 3. Members must be approved by the Board of Directors. Functions of the Election Committee Article 3 (Functions) The Election Committee shall perform the following duties: 1. Enforce bylaws and election rules 2. Receive and manage candidate registrations and deposits 3. Review and manage nominator lists 4. Manage all required affidavits and declarations 5. Establish and operate voting and counting locations 6. Maintain the voter registry 7. Verify qualifications of candidates and voters 8. Announce results and certify the winner 9. Preserve ballot boxes and election documents 10. Conduct other tasks necessary for managing the election Candidate Eligibility Article 4 (Eligibility) Candidates must meet the following requirements: 1. Have resided within the Chamber’s jurisdiction in Georgia for at least recent three years 2. Be a Regular Member who has paid dues for two recent consecutive years 3. Be in good standing with the Bylaws and ethics rules 4. Individuals involved in legal disputes or violations of criminal/election law are disqualified 5. Violations of IRS 501(c) requirements may result in ineligibility If no qualified candidate emerges, the Election Committee may propose alternatives, subject to Board approval. Suspension of Office During Candidacy Article 5 (Status Suspension) Any officer or individual holding a position within the Chamber shall immediately suspend their duties upon candidacy registration. Their duties shall be delegated according to the established line of succession. Candidate Registration Article 6 (Registration) 1. Registration begins within 5 days after the Election Committee is activated. 2. Registration closes at 6:00 PM, 15 days prior to the election. Required Documents: – Candidate Registration Form – Resume – Membership dues verification – Proof of 3-year residency – Background check authorization – Candidate affidavit – Declaration agreeing to abide by the decisions of the Election Committee Candidate Deposit Article 7 (Deposit) 1. Presidential candidates shall pay a deposit equal to or greater than that of the previous election. 2. Unsuccessful candidates shall receive 50% of their deposit back within 15–20 days after results are announced. 3. Deposits may be used only for election expenses, and any remaining funds shall be transferred to the new administration. 4. The exact deposit amount shall be determined by the Board upon recommendation of the Election Committee. Candidate Nominators Article 8 (Nominations) Candidates must receive endorsements from at least 25 Regular Members. Duplicate nominations are void. Voting Rights Article 9 (Voting Eligibility) Regular Members who have paid dues at least 20 days prior to the election are eligible to vote. Election and Announcement Article 10 (Election and Announcement) 1. The election period follows Article 27 of the Bylaws. 2. The Election Committee shall announce the results immediately after counting. 3. In the event of a tie, a runoff election shall be held within two weeks. Objections Article 11 (Objections) Decisions of the Election Committee are final. After results are announced, no legal challenges shall be permitted. Candidate Oath Article 12 (Affidavit) All candidates must sign the affidavit provided by the Election Committee. Committee Dissolution Article 13 (Dissolution) The Election Committee shall be dissolved upon completion of all election duties and transfer of materials to the new administration.
